Strategy for Winning:
The Associate General Counsel is under the direction of the General Counsel (GC) and provides a full range of in-house and business affairs counsel for Zuffa, LLC, its affiliates, and the Ultimate Fighting Championship (UFC) brand. The position serves as a commercial attorney for supporting business activities of the UFC, and structures, drafts and negotiates agreements, advises internal business clients, manages outside counsel on matters and issues across the spectrum of business functions to achieve the UFCâs business objectives. As a promoter and distributor of live events and sports entertainment, key business functions to support include: content distribution (via pay-per-view (PPV), television and digital), production, sponsorship, consumer products, intellec tual property management, event operations, marketing, corporate maintenance, regulatory affairs, litigation and procurement matters. Responsibilities: 1. Structures, consults, drafts and supervises agreements relating to the production and exploitation of content (including talent agreements, production services agreements and distribution agreements). 2. Negotiates and drafts domestic and foreign licensing agreements for the distribution of (primarily) UFC material by means of pay-per-view, television, and digital distribution. 3. Analyzes and reviews contracts and proposals, and participates in construction of deal strategies for the distribution and exploitation of content, including PPV, digital PPV, television, and subscription video on demand (SVOD). 4. Understands digital content licensing, subscription models, electronic sell through (EST) and VOD fee structures, windowing, digital rights management (DRM) and other content protection strategies, and digital supply c hain issues. 5. Negotiates and drafts intellectual property licenses for sponsorship and merchandise licensee agreements including category-specific sponsorship, games, apparel and consumer products. 6. Handles production-related issues for the companyâs in-house produced programming and programming produced by outside production service companies, including rights clearance, property releases, and participant waivers. 7. Negotiates and drafts a broad range of production agreements, including production services, talent, content, fighter, underlying rights, and production related business transactions. 8. Manages and coordinates with trademark counsel the development, protection and use of the companyâs intellectual property (IP). 9. Works closely with outside counsel regarding trademark, copyright, and rights and clearance issues. 10. Drafts fighter-related agreements, including promotion agreements, merchandise rights agreements, and bout agreements. 11. Advises client s on various compliance with regulations, rules standards and policies, including athlete conduct, drug testing, athletic commission regulations and procedures, and MMA-related regulations. 12. Supports and coordinates with other groups within the legal department, including IP enforcement, compliance and litigation, to administer and manage UFC assets. 13. Reviews marketing vendor agreements, marketing materials, press releases, promotions and contests. 14. Participates in policy decisions about issues of risk tolerance for the company. 15. Assists in matters of due diligence and document review and preparation for major transactions, as necessary. 16. Provides general legal oversight and advice for all legal matters, including pursuit and/or avoidance of claims and potential litigation. 17. Assists in the enforcement of agreements to ensure compliance. 18. Responds to legal requests from a range of departments, analyzing, summarizing and communicating legal concepts 19. As sists with other general business and legal affairs projects as requested.
Skills & Experience: 1. Bachelorâs degree in a related field. 2. Juris Doctorate degree from and accredited law school. 3. Admitted to the bar of at least one state, preferably Nevada, California or New York. 4. Minimum of seven (7) years of experience in law firm or as in-house counsel. 5. Experience in sports/entertainment transactions and/or experience in media/content licensing. 6. Ability to effectively communicate with all levels of the organization and with a variety of contacts, including outside attorneys, senior management, and internal clients. 7. Broad overview experience in intellectual property law, including trademark law, copyright law, licensing of rights, and due diligence. 8. Experience working with other attorneys and supervising/mentoring staff attorneys and support staff in an in-house role is preferred. 9. Collaborative working style that fosters cooperation and enc ourages others to seek your counsel. 10. Ability to plan, organize and effectively communicate, orally and in writing. 11. Ability to maintain discretion and confidential information. 12. Excellent organizational skills and attention to detail. 13. Excellent working knowledge of Microsoft Word, Excel, Outlook and the ability to learn other computer programs.
