Job Responsibilities:
- Act as the lead senior corporate paralegal for a global company publicly traded on the New York Stock Exchange;
- Assist with Section 16 compliance matters as well as t he preparation and filing of Section 16 reports (Forms 3, 4 and 5);
- Assist with preparation and filing of various SEC periodic reports, including Form 10-Ks, Form 10-Qs, Form 8-Ks and Proxy Statements;
- Assist with NYSE compliance activities, including reporting dividends and organizational changes to NYSE;
- Assist with the preparation, organization and delivery of materials for Board and Board Committee meetings,
- Work in close support of Board of Director needs and requests,
- Maintain minute books for the parent company,
- Draft and file, when applicable, documents such as articles of incorporation, bylaws, board and shareholder minutes, consents, secretarial certificates and powers of attorney,
- Assist with various multi-task, multi-deadline projects such as mergers and acquisitions, credit facility renewals, and the annual stockholder meeting.
- Support SEC rule-filing work for the clearing agency businesses.
- Help prepare draft and final rule filings for submission to SEC, including collecting and reviewing relevant exhibit documents and editing and proofreading filings.
- Draft and review important notices and other member communications concerning rule filings.
- Research clearing agency rules and rule filings to respond to internal and external inquiries.
- Help prepare and maintain DTCC website and training materials relating to rule filings and overall regulatory requirements.
- Provide other paralegal and general administrative support for the regulatory attorney group as assigned from time to time, including conducting research, maintaining well-organized records relating to regulatory matters, preparing meeting minutes and action item logs and preparing other documents including forms, memoranda and presentations.
- Mitigates risk by following established procedures and monitoring controls, spotting key errors and demonstrating strong ethica l behavior.

- Support other projects or initiatives as needed
- Carries out contract work and reviewing highly confidential information.
- Customarily and regularly maintains corporate books and records.
- Analyze and assist in the preparation of documents required for the furtherance of existing and future business activities.
- Actively exercise effective time management and multitasking in performing duties.
- Actively assist compliance department with statutory, regulatory, corporate governance and industry-standard requirements.
- Responsible for assisting with due diligence, corporate formations/organizat ion, and closing of complex transactions, including mergers and acquisitions.
- Work closely with the VP, Corporate Counsel, SVP & Deputy General Counsel, EVP, General Counsel, senior management, outside legal counsel and employees at all levels in performing duties.
- Process intellectual property infringement notices from start to finish.
- Process third-party requests for information, such as subpoenas.
- Maintain relationships with intellectual property owners and brand owners.
- Review games in development to provide intellectual property clearance and confirm compliance with applicable regulations, company standards and industry standards.
- Performs other related duties as assigned.
Education/Qualifications:
- Bachelorâs degree required; Paralegal certificate preferred.
- 8-12 years of relevant law firm and/or corporate legal department experience in commercial, transactiona l and finance law.
- Expert experience in the payments, technology and/or gaming industry strongly preferred.
- Expert experience in corporate filings and contract management is required.
- Be highly organized, detail-oriented and able to think analytically about projects
- Be customer-focused and service-oriented
- Excellent judgment, professional maturity and strong communication skills are required
- Must be able to work well with others on a team
- Experience working constructively and persuasively with business leaders.
- Experience in conducting trademark clearance searches using Saegis/Serion a plus
- Experience screening watch notices and other policing of trademarks a plus.
- Expert proficiency in Microsoft Office applications, including Word, Access and Excel.
