Associate General Counsel

While generally supporting all of the Company's business groups, will act as the primary counsel for designated business groups such as the Company's Information Technology (IT) Department, Strategic Sourcing Department and Marketing Department (Internet/Online Marketing) and is expected to advise, direct and manage the legal aspects of the Company's IT global infrastructure, IT compliance (including PCI compliance and data security), e-commerce, online and social media campaigns, and other related Intellectual Property (IP) and IT projects under the Deputy General Counsel.Pr! ovide expertise on intellectual property and general technolog! y issues, including managing the legal aspects of the Company's activities around patents (prosecution, defense and infringement), trademarks (licensing and infringement), data privacy, online security, PCI regulations and online fraud, telecommunications systems (DAS, Cable, Satellite), IT outsourcing, networking and data centers, among others.Review, negotiate, and draft technology and brand licenses, maintenance, service and support agreements in relationship to the Company's IT infrastructure.Review, negotiate, and draft commercial contracts from the myriad of vendors and suppliers to MGM Resorts International and its affiliates (e.g., inbound and outbound licenses, service agreements, non-disclosure agreements, OEM/procurement agreements, etc.) and a variety of lease and license agreements (e.g. retail box and kiosk stores), payment and bank card type agreements (related to payment card commerce activities) and intellectual property transactions (including trademark li! censes for branding and marketing projects).Review, negotiate, and draft agreements related to entertainment activities and sporting events, including television production, syndication, location, filming, and clearance of third party content.Supervise and manage in-take of contract requests and conduct internal client interviews related to contracts and other legal projects to understand issues and then advise clients as to best practices in addressing such issues and conducting the transactions at hand.Supervise, manage and settle disputes related to personal injury, and other minor tort claims and contract disputes related to the designated areas of responsibilities along with other hotel, casino and corporate operations.Help supervise, develop, train and mentor the other attorneys and paralegals in areas of expertise and knowledge.Develop and maintain strong business relationships as a key relationship manager for the corporate legal department among the various interna! l business groups requiring legal support.Ensure the General Counsel an! d the Deputy General Counsel, along with other senior attorneys (including the General Counsels of MGM Resort affiliates) are kept apprised of material developments and matters on a timely basis exercising sound business and legal judgment to enable the General Counsel and the Deputy General Counsel to discharge their duties and responsibilities.Demonstrate leadership and team-working skills in support of a collaborative environment.Organize, direct and provide legal support in specified areas under the direction of the Deputy General Counsel.Performs other job related duties as assigned.
Required: Juris Doctorate degree and active state bar membership.At least 6 years of related legal experience.Experience negotiating contracts with large multinational companies.Experience in a fast-paced corporate legal/transaction group.Exceptional oral and written communication skills.Must be able to demonstrate strong analytical skills and business acumen.Excellent customer ! services skills.Ability to lead and mentor a team.Must have interpersonal skills to deal effectively with all business contacts.Professional appearance and demeanor.Work varied shifts, including weekends and holidays.Expertise in MS Word and Outlook and competency with Excel and Powerpoint.Must be able to effectively communicate in English, in both oral and written forms.Preferred: Patent experience and/or membership in the Patent Bar.Familiarity with data protection and privacy, intellectual property (patents, copyrights, trademark, trade secrets) principles and international issues.Familiarity with corporate transactions and joint ventures.Previous experience working in a similar resort setting.
