Associate General Counsel The Associate General Counsel assists the General Counsel in planning and directing all aspects of the organizationâs legal affairs and ensures maximum protection of its legal rights. Assists General Counsel on all corporate, legal and regulatory matters, including but not limited to: general contracts, third-party agreements, vendor-supplier relationships, management of external counsel, management of the litigation process, industry related compliance issues, employment law, and intellectual property. Addit! ionally, this individual will be working closely with other at! torneys and staff in the Legal Department, members of Pinnacleâs management teams and with external interfaces.
Requirements
Major Duties and Responsibilities: Assist General Counsel in protecting the Company against legal risks. Assist in negotiating writing and reviewing contracts. Work closely with the organization to develop proposals, oversee preparation of contracts and monitor progress. Ensure compliance with customer contracts. Help ensure that all organization activities are carried out in compliance with local, state, and federal regulations and laws governing business operations. Assist General Counsel with employment matters to protect the company against legal liability. Participate in establishing policies and procedures that are consistent with the organizationâs broad policies and objectives. Attend and actively contribute to various committees/meetings. Gather and analyze information needed to understand problems; base decisions! on sound logic and rationale; advance problems toward resolution when encountering ambiguity or uncertainty; choose the best alternative based on consideration of pros, cons, tradeoffs, timing and available resources; make timely decisions on problems and issues requiring immediate attention; make sound decisions on complex functional issues and problems. It is understood that this list of major duties and responsibilities is not an inclusive list and that other duties and responsibilities, which may include helping others in the same or different groups, may be assigned by supervision. Technical and Business-Related Knowledge, Skills and Abilities Required: Four to seven years applicable experience. A mix of experience as outside and in house counsel is preferred. Candidate must be a Nevada licensed attorney or meet the requirements for admission to the Nevada Bar under Supreme Court Rule 49.10 (limited practice as in-house counsel). Demonstrated expertise in operational ! concepts, practices and procedures. Experience with labor and employmen! t matters is preferred. Experience with drafting, negotiating and reviewing various types of contracts, including but not limited to, commercial and real estate agreements. Experience with general corporate matters and intellectual property helpful. Experience with managing outside counsel. Ability to handle long-term and/or complex legal projects with significant financial or other business impact; Comfortable in managing multiple projects and adapting to changing priorities. Ability to effectively manage outside counsel. Experience resolving conflict between groups with opposing perspectives, agendas, or priorities. Must be self assured and confident in a variety of settings with a strong belief in own capabilities and have strong interpersonal skills. Strong meeting management skills. Established analytical, problem solving, writing, presentation and organizational abilities. Strong written and verbal skills important; ability to interact with community and government ag! encies. Computer literate (including research) and ability to type and create documents without assistance. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, or employees. Ability to represent the company in a positive and professional manner. Ability to perform multiple tasks simultaneously and adapt to changing priorities in a positive and professional manner. Ability to work well both independently and as a member of a team. Ability to travel as required. Knowledge of state gaming regulations helpful. Operations. administration and financial experience in casino industry helpful. Familiarity with key individuals within the gaming industry and regulatory and local and regional government agencies and community helpful. Educational Background or Professional Designation Required: Advanced College Degree, Law degree from accredited law school, curren! t license to practice law in one or more jurisdictions (no disciplinary! actions). Position is subject to compliance committee review and recommendation of retention.
